1. General These terms apply between Steady State AI ("The Provider") and the business customer ("The Customer"). The service is provided strictly to legal entities (B2B). By using Steady State AI’s services, the Customer accepts these terms.

2. The Service Steady State AI provides an "AI Quote & Auto-Follow-Up System" designed specifically for cleaning companies. The system captures lead data and generates instant quotes via one of the following methods, determined during onboarding:

Custom Quote Form: The Provider builds and installs a specialized form on the Customer’s website.

Form Integration: The Provider connects to the Customer’s existing form (provided it captures sufficient data).

Email Parsing (Fallback): If form integration is not possible, the system connects to the Customer’s email to parse incoming lead requests.

Important: Steady State AI assists with the initial configuration, but the Customer is ultimately responsible for the accuracy of the pricing rules, add-on costs, and service parameters provided to the system.

3. Performance Guarantee (Refund Policy) Steady State AI offers a performance-based guarantee on the Setup Fee.

The Guarantee: If the Customer does not achieve a 25% increase in booked jobs (compared to their baseline) within 60 days of the system going live, the Customer is entitled to a full refund of the Setup Fee.

Conditions for Refund: To qualify for the refund, the Customer must meet the following criteria during the 60-day period:

Lead Volume & Intent: The Customer must process a minimum of 15 leads per week through the system. These must be qualified leads defined as individuals who have explicitly requested a quote or expressed interest in booking a service (e.g., cold lists or bought data lists do not count).

System Usage: The Customer must not have manually disabled the follow-up sequences or altered the AI pricing logic without consulting The Provider.

Cooperation: The Customer must participate in at least one optimization call if results were not met within the first 30 days.

Exclusions: Monthly subscription fees cover server costs (OpenAI, Twilio, etc.) and ongoing maintenance and are non-refundable. The guarantee applies strictly to the one-time Setup Fee.

4. Subscription & Pricing Services are billed in USD via Stripe (Credit Card).

Custom Pricing: The specific Setup Fee and Monthly Subscription Fee are agreed upon individually with the Customer and specified in the separate Order Agreement or Invoice.

Cancellation: There are no long-term lock-in contracts. The agreement runs on a month-to-month basis. The Customer may cancel at any time, effective at the end of the current billing cycle.

5. SMS Compliance & Liability (US Market) Since the Service involves sending automated SMS messages to US consumers:

Consent: The Customer guarantees that they have obtained the necessary consent (opt-in) from their leads to receive automated quotes and follow-ups via SMS, in compliance with TCPA (Telephone Consumer Protection Act) regulations.

Opt-Out: The System automatically handles "STOP" keywords. The Customer must not manually force messages to leads who have opted out.

Liability: Steady State AI is not liable for legal issues arising from the Customer purchasing non-compliant lead lists or contacting individuals without consent.

6. Service Limitations

Pricing Errors: Steady State AI executes quotes based on the logic defined by the Customer. The Provider is not financially liable for quotes sent that are "too low" or "too high" due to errors in the Customer's provided price book.

Uptime: The Provider strives for 99.9% uptime but does not guarantee uninterrupted service due to dependencies on third-party networks (e.g., Twilio, OpenAI, Gmail APIs).

7. Data Protection & Confidentiality Steady State AI acts as a data processor. We store lead data solely for the purpose of executing the Service. We do not sell or share your lead data with other cleaning companies or third parties.

8. Termination by Provider Steady State AI reserves the right to suspend the Service immediately if:

Invoices remain unpaid for more than 7 days.

The system is used for spamming, harassment, or illegal activities.

9. Governing Law This agreement is governed by Swedish law. Disputes shall primarily be resolved through negotiation. If unresolved, they shall be settled by the District Court of Gothenburg, Sweden.
